1. Acceptance of Terms

By accessing or using the LetsInvoice platform at letsinvoice.co.za ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you ("User", "you") and LetsInvoice ("we", "us", "our"). By creating an account, subscribing to a plan, or otherwise using the Service, you confirm that you have read, understood, and agree to these Terms in full.

We may update these Terms from time to time. Continued use of the Service after any changes constitutes acceptance of the revised Terms. We encourage you to review this page periodically.

2. Description of Service

LetsInvoice is a cloud-based software-as-a-service (SaaS) invoicing platform designed for South African businesses. The Service enables users to:

3. User Accounts

3.1 Registration

To use the Service, you must create an account by providing accurate, complete, and current information. You must be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is greater, to create an account.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@letsinvoice.co.za if you become aware of any unauthorised access to or use of your account.

3.3 Account Accuracy

You agree to keep your account information up to date, including your business details, contact information, and billing details. LetsInvoice is not liable for any issues arising from inaccurate or outdated account information.

4. Subscription Plans and Billing

4.1 Plans and Pricing

LetsInvoice offers multiple subscription tiers, including a free plan with limited features and paid plans with expanded capabilities. All prices are quoted in South African Rand (ZAR) and are inclusive of VAT where applicable. Current pricing is available on our pricing page.

4.2 Payment Processing

Payments for paid subscription plans are processed through PayFast, a trusted South African payment gateway. By subscribing to a paid plan, you agree to PayFast's terms and conditions in addition to these Terms. LetsInvoice does not store your credit card or banking details directly; all payment information is handled securely by PayFast.

4.3 Billing Cycle

Paid subscriptions are billed on a monthly recurring basis. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You may upgrade, downgrade, or cancel your subscription at any time through your account dashboard.

4.4 Refunds

Subscription fees are generally non-refundable. If you cancel a paid subscription, you will continue to have access to paid features until the end of your current billing period. In exceptional circumstances, refund requests may be considered at our sole discretion. Please contact support@letsinvoice.co.za for any billing queries.

4.5 Price Changes

We reserve the right to change subscription pricing at any time. We will provide at least 30 days' notice before any price increase takes effect. Continued use of a paid plan after a price change constitutes acceptance of the new pricing.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

6. Your Data and Privacy

6.1 Data Ownership

You retain ownership of all data, content, and information you upload, create, or store through the Service ("Your Data"). By using the Service, you grant LetsInvoice a limited licence to process, store, and display Your Data solely for the purpose of providing and improving the Service.

6.2 POPIA Compliance

LetsInvoice is committed to protecting your personal information in accordance with the Protection of Personal Information Act, 2013 (POPIA) of South Africa. We process personal information lawfully and only for the purposes for which it was collected. As a responsible party under POPIA, we take appropriate technical and organisational measures to safeguard your personal information against loss, unauthorised access, and unlawful processing.

You have the right to request access to, correction of, or deletion of your personal information held by us, as provided under POPIA. For more details on how we collect, use, and protect your information, please review our Privacy Policy.

6.3 Data Processing

As you may use the Service to process personal information of your own clients and contacts, you acknowledge that you act as a responsible party (as defined in POPIA) for that data. You are responsible for ensuring that you have the necessary consent or legal basis to process your clients' personal information through the Service, and that your use of the Service complies with POPIA and any other applicable data protection laws.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its design, code, features, functionality, logos, trademarks, and all related content, is the exclusive property of LetsInvoice and is protected by South African intellectual property laws and applicable international treaties. Nothing in these Terms grants you any right, title, or interest in our intellectual property except the limited right to use the Service as expressly permitted herein.

7.2 Your Content

You retain all intellectual property rights in the content you create using the Service, including invoices, quotations, and business documents. LetsInvoice does not claim ownership over your business content or data.

7.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, royalty-free, perpetual, and irrevocable licence to use, modify, and incorporate that feedback into the Service without any obligation to you.

8. Limitation of Liability

8.1 Service Provided "As Is"

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by South African law, LetsInvoice disclaims all warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8.2 Limitation

To the maximum extent permitted by law, LetsInvoice and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from or related to your use of or inability to use the Service.

Where liability cannot be excluded under South African law, our total aggregate liability to you for all claims arising out of or related to the Service shall not exceed the total amount you have paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

8.3 No Financial or Tax Advice

LetsInvoice is an invoicing tool and does not provide financial, tax, legal, or accounting advice. You are solely responsible for ensuring that your invoices and financial documents comply with applicable laws, including South African tax regulations and SARS requirements. We recommend consulting a qualified professional for financial and tax matters.

9. Termination

9.1 Termination by You

You may close your account and stop using the Service at any time by contacting us at support@letsinvoice.co.za or through your account settings. If you are on a paid plan, cancellation will take effect at the end of your current billing period.

9.2 Termination by Us

We may suspend or terminate your account at any time if we reasonably believe that you have violated these Terms, engaged in fraudulent or illegal activity, or if continued provision of the Service to you is no longer commercially viable. Where possible, we will provide reasonable notice before termination.

9.3 Effect of Termination

Upon termination of your account, your right to access the Service ceases immediately. We may retain Your Data for a reasonable period to comply with legal obligations, resolve disputes, or enforce our agreements. After this period, Your Data will be permanently deleted. We recommend exporting any important data before closing your account.

10. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any dispute arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Republic of South Africa.

Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation. You may contact us at support@letsinvoice.co.za to discuss any concerns or issues.

Nothing in these Terms excludes or limits any rights you may have under the Consumer Protection Act, 2008 (CPA) or any other mandatory provisions of South African law that cannot be waived or limited by agreement.

11. Changes to These Terms

We may revise these Terms at any time by updating this page. The "Last updated" date at the top of this page indicates when the Terms were most recently revised. For material changes, we will make reasonable efforts to notify you via email or through a notice on the Service.

Your continued use of the Service after the revised Terms take effect constitutes your acceptance of the changes. If you do not agree to the revised Terms, you should discontinue use of the Service and close your account.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and LetsInvoice regarding your use of the Service and supersede any prior agreements or understandings.

12.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

12.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

12.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
